Your LLC's annual deadlines: the complete calendar (and what each miss costs)

An LLC doesn't need attention every day: it needs attention on exact dates, and each one carries its own penalty. This is the full year of a foreign-owned LLC — what's due, when, what forgetting costs — and the anti-forgetting system that takes ten minutes to set up.

Your LLC's year, date by date

April 15 — Form 5472 + pro forma 1120. The most expensive line on the calendar: every foreign-owned single-member LLC files it even with zero revenue. It's informational — no tax due — but skipping it starts at USD 25,000 in penalties. The extension (Form 7004) exists, but must be requested BEFORE the deadline.

Your state's annual report. Wyoming: first day of your anniversary month, minimum fee around USD 60 — missing it costs you good standing. Florida: May 1 for everyone, USD 138.75 — filing late adds a USD 400 penalty. Delaware: LLCs file no report but pay a USD 300 franchise tax by June 1.

June 15 — your personal 1040-NR, if it applies. Non-residents with no US wage withholding have until this date for their personal return. If your LLC had no effectively connected US income, you may not need to file personally — but that conclusion gets verified, not assumed.

All year — the registered agent. The invisible renewal: paid once a year, and the cheap provider won't remind you. If the agent resigns over non-payment, the state can administratively dissolve your LLC — and legal notices stop reaching you exactly when you need them most.

And the BOI? Under FinCEN's interim rule, US-formed entities currently don't file. The rule isn't final: a two-minute quarterly check keeps you covered.

The 10-minute anti-forgetting system

Four phone alarms, each one month early: April 15 · your state's date · the registered agent's anniversary · June 15. Four alarms are literally the difference between a compliant LLC and a five-figure penalty.
